Terms of Service

1. The service

Clinch is a Shopify app that detects exit intent on your storefront, displays a discount offer, generates unique single-use discount codes through Shopify's APIs, and attributes recovered orders in a dashboard. By installing Clinch you agree to these terms.

2. Fees

Clinch is free to install. On the Free plan, we charge 10% of recovered revenue: the discounted total paid on orders that used a Clinch-generated code. Paid plans (Pro, Growth) carry the monthly fee and revenue share shown on our pricing page at the time of subscription. All charges are billed through Shopify's billing system. If Clinch recovers nothing on the Free plan, you pay nothing.

3. Your responsibilities

• You control the discount percentage and offer configuration; discounts are issued against your store's margin at your direction.
• You are responsible for ensuring your store's own legal compliance (consumer law, pricing rules, consent requirements in your jurisdictions).
• You will not use Clinch to display misleading or unlawful offers.

4. Attribution

A recovery is an order that includes a Clinch-generated discount code, reported by Shopify's order webhooks. This deterministic code match is the sole basis for recovered-revenue reporting and fees.

5. Availability and changes

We aim for high availability but do not guarantee uninterrupted service. We may update features, pricing for new subscriptions, or these terms; material changes will be announced in the app or by email before they take effect.

6. Liability

Clinch is provided "as is". To the maximum extent permitted by law, our total liability arising from the service is limited to the fees you paid to Clinch in the three months preceding the claim. We are not liable for indirect or consequential damages, including lost profits.

7. Termination

You may uninstall Clinch at any time from your Shopify admin; billing stops with the current cycle and your data is deleted per our Privacy Policy. We may suspend or terminate service for breach of these terms.
